Flipkart Corporate Advantage Program – Terms and Conditions

Definitions:

“Gift Card/s” shall mean the Flipkart semi-closed loop card issued by Qwikcilver.

“GC IDs” shall mean the Gift Card credentials (i.e. Gift Card number and PIN); and

“Issuance” shall mean the issue of the Gift Card pursuant to the fulfilment of a pre-agreed process (Claim Action) within a defined time period (Claim Period), which is mutually agreed with the Company.

“Claim Action” shall mean the process using which the beneficiary can get a Gift Card issued as highlighted below in Annexure.

• “Claim Period” shall mean the period within which the GC IDs can be used to get a Gift Card issued.
• The Corporate Advantage Programme is for Company’s internal consumption, wherein Qwikcilver agrees to provide the Company Gift Card Numbers & respective PINs (GC ID)
• As per this program, Gift Card of mutually agreed denominations, both in physical and electronic form, is ‘Issued’ only on completion of Claim Action within Claim Period
• The GC IDs will be provided in accordance with either specific requests raised by way of API system integration, or any manual request raised by way of an email (“Request”), on a non-exclusive basis on the terms and conditions as mentioned herein.
• For the avoidance of doubt, it is hereby clarified that the GC IDs being shared with the Company upon the receipt of the Request, are not Gift Cards or a stored value instrument
• The Company understands that the Gift Cards are issued only upon the fulfilment of the Claim Actions within Claim Period as detailed in the below.
• The Company shall ensure that the beneficiary is made aware of: (i) the Claim Action and Claim Period to get the Gift Cards issued; and (ii) the respective Gift Card terms and conditions applicable upon issuance of the Gift Card.
• Qwikcilver shall not be liable for any failure of the Company to communicate such terms to the beneficiary.
• All Gift Cards shall be valid for a period as per the terms decided and set out in the Gift Card.
• No Gift Card will be issued if the corresponding GC IDs are not utilized within the Claim Period as per the Claim Actions set out below.
• The brand guidelines and other terms and conditions of the Gift Card, if any, of the Gift Card issuing entity, shall be adhered to the brand guidelines.
• The Company is aware, understands and acknowledges that the Gift Cards cannot be exchanged for its value in cash either in full or in part
• The Company shall utilize the Gift Cards procured only towards its internal consumption. The GC IDs or the Gift Cards shall not be resold by the Company in any manner whatsoever.
• Upon the Claim Actions set out below being fulfilled by beneficiary, the Gift Cards, which are semi-closed loop prepaid gift instruments, will be issued instantly. The required GC IDs will be dispatched by agreed upon methods of conveyance upon receipt of the Request.
• Upon the receipt of the GC IDs, it shall be the responsibility of the Company to keep the same in a secured manner and damages arising due to any loss and/or misuse of the GC ID shall be borne by the Company.
• In the event the Company utilizes the Gift Cards in any manner other than as set out herein or in the event the Qwikcilver is made aware of any abuse in the usage of the Gift Cards, Qwikcilver shall have the right to claw back / withhold the discounts paid/payable to the Company, including with retrospective effect.
• Qwikcilver shall supply the GC IDs to the Company solely based on the Request so raised on Qwikcilver. Qwikcilver may reject any such Request issued by the Company which does not contain all the above required details and shall intimate the same to the Company. Qwikcilver shall have no obligation to supply the GC IDs against such rejected Request.
• Under no circumstances whatsoever, is the return of Gift Cards permitted under this program once the same have been generated and delivered to the Company.
• Qwikcilver shall not undertake the fulfilment of any Requests raised by the Company if payments are not being made by the Company as per the agreed upon terms
• The Company shall make all payments in advance to Qwikcilver by way of agreed upon modes such as cheque, Demand Draft, NEFT payable at Bangalore in favour of Qwikcilver in the manner set forth
• The Company shall ensure that, only payments from bank accounts based out of India and Credit/Debit Cards issued in India are made against the procurement of the Gift Cards by Qwikcilver. No payments shall be made in cash.
• All payments made by the Company shall be made in Indian Rupees.
• Qwikcilver and the Company agree that the consideration paid to Qwikcilver towards the corporate advantage programme is fixed. Qwikcilver and the Company agree that no amount is refundable by Qwikcilver to the Company upon expiry of Claim Period which were not utilized towards issuance of a Gift Card
• The Company is required to maintain the beneficiary details of all beneficiaries who procure such Semi Closed Loop Gift Cards for a minimum period of 10 years (first name and last name of the beneficiary, email id and phone number). This information is to be maintained as mandated under the provisions of the Prevention of Money Laundering Act, 2002, the rules notified thereunder and the Reserve Bank of India (RBI) guidelines on Anti Money Laundering and in view of the Policy Guidelines for issuance and operation of Prepaid Payment Instruments in India issued by RBI and other ancillary applicable law. The Company also undertakes to share such beneficiary details whenever requested by Qwikcilver/Reserve Bank of India/or any other regulatory authority.
• All other standard terms of Flipkart Gift Card will be applicable for the Gift Cards under “The Corporate Advantage Programme”, <>
• Claim Action
• The GC ID recipient i.e the beneficiary shall log in to the Flipkart platform at www.flipkart.com.
• The beneficiary shall enter the GC IDs i.e. the card number and PIN on Flipkart platform at the designated place;
• Upon successful authorization of the GC IDs, the Gift Cards will be issued to the beneficiary and loaded with the value.
• The Gift Card issued is to be linked to the beneficiary’s Flipkart account.
• The Beneficiary shall complete the above process within such number of days as mutually agreed between Qwikcilver and the Company (which shall be intimated to the beneficiary by the Company) failing which the GC IDs shall expire and the beneficiary cannot re-activate the GC IDs towards issuance of a Gift Card.
